Positype Universal End User License Agreement

PLEASE READ THIS AGREEMENT CAREFULLY. BY PURCHASING, DOWNLOADING, INSTALLING, OR USING POSITYPE FONT SOFTWARE, YOU AGREE TO BE BOUND BY THESE TERMS.

What This Agreement Is

This Universal End User License Agreement (the "Agreement") is a legal contract between you ("You," "Licensee," "Customer," or "End User") and Swash and Kern LLC, doing business as Positype ("Positype," "We," "Us," or "Publisher"), governing your right to use Positype font software.

When you purchase a license from Positype, you are purchasing the right to use specific font software under specific conditions — not ownership of the font software itself. The type of license you purchase, and the terms of the applicable Category Addendum attached to this Agreement, define exactly what you may and may not do.

If your intended use is not clearly addressed here or in the applicable addendum, contact us before purchasing. We would rather answer a question than resolve a violation.

1. Definitions

The following terms have specific meanings throughout this Agreement and any associated Category Addenda:

  1. "Font Software" means the digital font files, including all formats delivered to you (OpenType, TrueType, WOFF, WOFF2, and any other formats), together with any associated documentation, updates, and permitted modifications. "Fonts," "Typefaces," and "Font Software" are used interchangeably.
  2. "Glyph" means any individual typographic or ornamental character rendered by the Font Software.
  3. "Licensee" means the individual or legal entity that has purchased a license. Where a license is purchased on behalf of an organization, the organization is the Licensee.
  4. "Authorized User" means any individual expressly permitted by the Licensee to use the Font Software under the terms of this Agreement. Authorized Users are employees or agents of the Licensee operating under the Licensee's direct supervision and control.
  5. "Workstation" means any device — desktop computer, laptop, tablet, or mobile device — on which Font Software is installed or from which it is accessed.
  6. "Licensed Unit" means the quantity of Workstations, users, pageviews, impressions, channels, or other defined metrics covered by the license as specified on your invoice or purchase receipt.
  7. "Derivative Work" means any output, design, or file created using the Font Software, including but not limited to logos, printed materials, digital files, motion graphics, and packaged products. Derivative Work does not mean modified font software files.
  8. "Commercial Use" means any use of the Font Software in connection with a business, trade, profession, or for compensation, regardless of the form that compensation takes.
  9. "Third Party" means any individual or entity other than the Licensee and Authorized Users.
  10. "Category Addendum" means the specific license terms applicable to your licensed use type as identified on your purchase receipt. The Category Addendum forms part of this Agreement and governs your specific permitted uses.

2. License Grant

Subject to your payment of the applicable license fee and your compliance with all terms of this Agreement, Positype grants you a non-exclusive, non-transferable, non-sublicensable license to use the Font Software solely as specified in your applicable Category Addendum. All rights not expressly granted here are reserved by Positype.

This license is granted to the Licensee identified on the purchase receipt. It does not extend to affiliated companies, parent companies, subsidiary companies, contractors, freelancers, clients, vendors, or any other Third Party unless expressly stated in the applicable Category Addendum.

3. What You Always May Do

Regardless of your license type, you may:

  1. Install and use the Font Software on the number of Workstations specified in your Licensed Unit.
  2. Create Derivative Works using the Font Software for personal or commercial purposes as permitted by your Category Addendum.
  3. Make archival backup copies of the Font Software for your own use, provided those copies remain in your exclusive control and are not distributed to any Third Party.
  4. Modify the vector outlines of individual Glyphs using drawing software such as Adobe Illustrator, for use in a specific design project. Modified outlines may not be used to create or generate new font software files.

4. What You Never May Do

Regardless of your license type, you may not:

  1. Share, lend, give, rent, lease, sublicense, or otherwise transfer the Font Software files to any Third Party except as expressly permitted in your Category Addendum.
  2. Open the Font Software in font editing software to modify, adapt, alter, rename, or generate new font files from the binary data.
  3. Reverse engineer, decompile, or attempt to extract the source code or design data from the Font Software.
  4. Use the Font Software in any manner not expressly authorized by this Agreement and your applicable Category Addendum.
  5. Remove, alter, or obscure any copyright notices, trademark notices, or other proprietary markings contained in or on the Font Software.
  6. Use individual Glyphs extracted from the Font Software as the primary commercial product.

5. Ownership and Intellectual Property

You do not own the Font Software. Positype and its designers retain all right, title, and interest in and to the Font Software, including all copyright, trademark, design rights, and other intellectual property rights, whether registered or unregistered, in all jurisdictions worldwide.

Purchasing a license purchases the right to use the Font Software under defined conditions. It does not purchase any ownership interest, design rights, or rights to the typeface designs embodied in the Font Software.

Typeface names associated with Positype Font Software are trademarks of Positype. You may reference typeface names for the purpose of identifying typography used in your work, but may not use typeface names as your own trademark or brand identifier.

6. File Protection

You agree to implement reasonable measures to prevent unauthorized access to or use of the Font Software by unlicensed individuals or entities. At minimum this means:

  • Not leaving font files in publicly accessible locations.
  • Not including font files in deliverables sent to Third Parties without authorization under your Category Addendum.
  • Promptly notifying Positype if you become aware of unauthorized use.

7. Commercial Printers and Service Bureaus

You may provide a copy of the Font Software to a commercial printer or service bureau solely for the purpose of outputting a specific project you have commissioned. You must inform the printer or bureau of the terms of this Agreement and require their compliance. The printer or bureau must destroy all copies of the Font Software upon completion of your project.

8. Upgrading and Extending Your License

If your use of the Font Software grows beyond the scope of your current license you must upgrade or extend your license before exceeding those limits. Contact Positype at support@positype.com to discuss upgrade options. Positype will apply credit for amounts already paid where applicable.

9. Transferring Your License

You may transfer your license to another individual or legal entity provided that:

  1. The transferee agrees in writing to be bound by all terms of this Agreement.
  2. You permanently destroy all copies of the Font Software in your possession, including backups.
  3. You notify Positype of the transfer in writing.

Licenses may not be transferred more than once.

10. Using Positype Fonts Through Third-Party Subscriptions

If you access Positype fonts through Adobe Fonts, Monotype Fonts, or another authorized distribution partner, the terms of that subscription govern your use within the scope that subscription covers. Categories of use not covered by those subscriptions require a separate license purchased directly from Positype. These include but are not limited to:

  • App/Software embedding.
  • Social Media animated and video content.
  • Broadcasting.
  • Packaging/Merchandise.
  • Publishing with defined print runs.

If you are unsure whether your intended use is covered by your existing subscription, contact us before proceeding.

11. Warranties

Positype warrants that the Font Software will perform substantially as documented for thirty (30) days following delivery. To make a warranty claim, contact Positype within the warranty period with your purchase receipt and a description of the defect. Positype's sole obligation under this warranty is to replace the defective Font Software or refund the license fee at Positype's discretion.

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE FONT SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. POSITYPE DOES NOT WARRANT THAT THE FONT SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

IN NO EVENT WILL POSITYPE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE FONT SOFTWARE, EVEN IF POSITYPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. POSITYPE'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE LICENSE FEE PAID BY YOU FOR THE APPLICABLE FONT SOFTWARE.

Some jurisdictions do not permit exclusion or limitation of certain damages. Where such laws apply, Positype's liability is limited to the maximum extent permitted by law.

13. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. All disputes arising from this Agreement shall be heard exclusively in the Circuit Court of Jackson County, Georgia, or the United States District Court for the Northern District of Georgia, Atlanta Division. Both parties consent to the personal jurisdiction of these courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

14. Termination

This Agreement terminates automatically and immediately upon any breach of its terms by you or any Authorized User. Upon termination you must cease all use of the Font Software and permanently destroy all copies in your possession or control. Termination does not limit any other remedies available to Positype.

15. Amendments

Positype may update these terms from time to time. Updated terms will be posted at positype.com/support/eula and your continued use of the Font Software following notice of any update constitutes acceptance. If you do not accept updated terms, you must cease use of the Font Software and notify Positype in writing.

16. Entire Agreement

This Agreement, together with your applicable Category Addendum and purchase receipt, constitutes the entire agreement between you and Positype regarding the Font Software and supersedes all prior agreements, representations, and understandings, whether written or oral.

Addendum A

Desktop License

This Addendum is part of the Positype Universal EULA and governs Desktop use of Positype Font Software.

What This License Covers

The Desktop License grants you the right to install and use Positype Font Software on Workstations for the creation of visual work across print and digital media. Permitted uses include:

  • Printed materials — brochures, posters, books, magazines, newspapers, annual reports, stationery, and all other physical print output.
  • Signage — vinyl, printed, exterior, interior, and wayfinding.
  • Static digital graphics — images saved as JPEG, PNG, GIF, SVG with outlined text, or PDF with embedded or outlined fonts, for use on websites, social media, presentations, or any other digital medium.
  • Identity systems and branding — development of logos, corporate identity systems, brand guidelines, and brand assets, subject to the Logo Addendum terms for standalone logo and identity system deliverables.
  • Corporate documents — internal and external presentations, reports, proposals, and templates for use within your organization.
  • Advertising materials — print advertising, outdoor advertising, digital static banner advertising, email marketing with font-based graphics embedded as images.

File formats delivered: OpenType (OTF)

Licensed Unit: Number of Workstations as specified on your purchase receipt.

What This License Does Not Cover

  • Live webfont use on websites via CSS @font-face — requires Web License.
  • Embedding in mobile or desktop applications or software — requires App/Software License.
  • Use in broadcast, streaming, or theatrical productions — requires Broadcasting License.
  • Animated type on social media platforms beyond static image posts — requires Social Media License.
  • Printed packaging for commercial products or merchandise — requires Packaging/Merchandise License.
  • Publishing with defined print runs — requires Publishing License.
  • Any use requiring font files to be transferred to a Third Party, including clients or external collaborators.

Sharing With Contractors and Agencies

The Desktop License does not permit sharing font files with contractors, freelancers, agencies, or vendors working on your behalf. Each such party must hold their own Desktop License. If you are an agency creating work for a client, you must hold your own license. Your client must obtain their own license for any direct installation or use of the Font Software by their team.

Embedding in Documents

You may embed Font Software in PDF documents for distribution, provided the fonts are embedded in a read-only, print-and-preview mode that prevents extraction or editing of the font data by the recipient. Editable document formats may not be distributed to parties who do not hold their own license.

Addendum C

Web License (Self-Hosted)

This Addendum is part of the Positype Universal EULA and governs self-hosted webfont use of Positype Font Software.

What This License Covers

The Web License grants you the right to self-host Positype webfont files and serve them via CSS @font-face for display of live text on one or more licensed web domains. Permitted uses include:

  • Styling live text on websites you own or have been authorized to develop.
  • Use across the licensed Primary Domain and its associated Subdomains.
  • Development and staging environments directly associated with the licensed domain.

Pricing is determined by average monthly pageviews across all licensed domains, measured over three consecutive months. Annual or perpetual terms available.

File formats delivered: WOFF and WOFF2

Domain Definitions

A Primary Domain is the central domain name. Subdomains are subdivisions of the Primary Domain. Each distinct Primary Domain requires its own Web License. If you operate multiple primary domains and require a single license covering all of them, contact Positype for an extended license.

File Protection

You must implement reasonable technical measures to prevent hotlinking and unauthorized access to the hosted webfont files. Webfont files may not be made available for direct download. You may share webfont files with your web developer or hosting provider solely for the purpose of implementing the licensed website, provided they agree to the terms of this Agreement and destroy all copies upon completion of their work.

What This License Does Not Cover

  • Desktop installation — requires Desktop License.
  • Dynamic font serving within web applications where users select, apply, or manipulate fonts — requires App/Software License.
  • Email newsletter font serving — contact Positype for an extended web license.
  • Use of formats other than WOFF and WOFF2.
Addendum D

App / Software License

This Addendum is part of the Positype Universal EULA and governs use of Positype Font Software embedded in applications and software.

What This License Covers

The App/Software License grants you the right to embed Positype Font Software within a digital application or software product. Permitted uses include:

  • Mobile applications for iOS, Android, and other mobile operating systems.
  • Desktop applications for macOS, Windows, and Linux.
  • Web-based applications where the font is embedded and served as part of the application's functionality.
  • Video games — for title screens, user interface elements, and in-game text display.
  • ePub and digital book formats with protected font embedding.

A single App/Software License covers one distinct application title across multiple operating systems. Each separate application requires its own license.

File formats delivered: OpenType (OTF) and/or TrueType (TTF) as appropriate to the application type.

Permitted Embedding

Font Software may be embedded within the application in a manner that prevents extraction by end users. You may not:

  • Make the Font Software available as a standalone download within the application.
  • Allow users to export or extract font files.
  • Enable users to use the embedded fonts outside the application itself.

What This License Does Not Cover

  • Applications where the primary function is allowing users to select, apply, or manipulate fonts to create their own outputs — requires custom license from Positype.
  • Server installation for generating dynamic text output for multiple users — contact Positype.
  • Use in broadcast, streaming, or theatrical productions — requires Broadcasting License.
Addendum E

Social Media License

This Addendum is part of the Positype Universal EULA and governs use of Positype Font Software in social media content.

What This License Covers

The Social Media License grants you the right to use Positype Font Software in the creation of static and animated content published on social media platforms. Permitted uses include:

  • Static image posts on any social media platform — Instagram, Facebook, X/Twitter, LinkedIn, Pinterest, Threads, and others.
  • Animated graphics and motion typography published to social media platforms.
  • Short-form video content published to platforms including TikTok, Instagram Reels, YouTube Shorts, and similar — where the content is organic (non-paid) and channel-owned.
  • YouTube video content published on your own channel — for titles, lower thirds, and motion graphics.

Pricing is determined by the number of social media channels licensed and the follower or subscriber count of those channels. Annual or perpetual terms available.

What This License Does Not Cover

  • Paid advertising placements on social media platforms — contact Positype for a combined Social/Broadcasting rate.
  • Content produced for a client's social media channels without the client holding their own Social Media License.
  • Use of Font Software directly within a social media platform's native design tool or application interface — requires App/Software License.

Adobe Fonts and Monotype Fonts Users

If you access Positype fonts through Adobe Fonts or Monotype Fonts, animated social media content and video-based social media content may not be covered by those subscriptions. This license covers those specific use cases where your existing subscription does not.

Addendum F

Broadcasting License

This Addendum is part of the Positype Universal EULA and governs use of Positype Font Software in broadcast, streaming, and theatrical productions.

The Broadcasting License grants you the right to use Positype Font Software in the creation of motion graphic content for broadcast, streaming, and theatrical distribution. Permitted uses include:

  • Over-the-air television broadcasts — network, local, and cable.
  • Streaming service content — original programming distributed via Netflix, Hulu, Disney+, Apple TV+, Amazon Prime, HBO Max, and comparable platforms.
  • Theatrical and cinematic productions distributed commercially.
  • Broadcast news and sports graphics — lower thirds, chyrons, scoreboards, title cards, and motion graphic packages.
  • Broadcast advertising and commercial productions — spot advertising distributed via television or streaming.
  • Documentary and non-fiction content distributed via broadcast or streaming.
  • Network identity and branding packages.

Pricing is determined by the scale of the production or broadcast context and the nature of use.

What This License Does Not Cover

  • Social media video content published to your own organic channels — see Social Media License or Desktop License.
  • YouTube content not distributed through a paid or network context.
  • Internal corporate video productions not distributed commercially.
  • Use of Font Software embedded in broadcast applications or playout software — requires App/Software License.

Important Notice Regarding Third-Party Broadcast Use

Font Software licensed under this Addendum may be used by the purchasing entity for the specified production. It may not be transferred to a broadcaster, network, or production partner as a deliverable that includes the live font files. Final broadcast deliverables must have font data embedded or rendered — live font files may not be transferred as part of a broadcast deliverable without explicit written authorization from Positype.

If you are a broadcaster, network, or streaming service requiring a master license covering multiple productions or ongoing use across your platform, contact Positype for an enterprise arrangement.

Addendum G

Packaging / Merchandise License

This Addendum is part of the Positype Universal EULA and governs use of Positype Font Software in product packaging and merchandise.

What This License Covers

The Packaging/Merchandise License grants you the right to use Positype Font Software in the production of printed commercial packaging and branded merchandise where typography is a primary visual element. Permitted uses include:

  • Printed product packaging — boxes, bags, labels, tags, wrappers, containers, and all physical packaging for commercial products.
  • Wearable merchandise — garments, hats, accessories, and other apparel where Positype typefaces appear as a significant design element.
  • Printed merchandise — tote bags, notebooks, posters, mugs, and similar physical products where the typeface is a primary brand or design element.
  • Retail point-of-sale materials — shelf signage, hang tags, and display materials associated with packaged products.

Pricing is determined by whether the use is for packaging or branded merchandise, and the nature of the brand context. Annual or perpetual terms available.

Relationship to Desktop License

The Packaging/Merchandise License is a specialized extension covering intensive commercial use in physical product contexts. If you hold a Desktop License and are producing packaging or merchandise as part of broader design work, you require this Addendum in addition to your Desktop License.

What This License Does Not Cover

  • Live webfont or digital use associated with the brand — requires Web License.
  • App or software use — requires App/Software License.
  • Products where users customize the typography themselves — requires custom license from Positype.
  • Broadcast advertising for the packaged product — requires Broadcasting License.
Addendum H

Publishing License

This Addendum is part of the Positype Universal EULA and governs use of Positype Font Software in print publishing.

What This License Covers

The Publishing License grants you the right to use Positype Font Software as a primary typeface in commercially published print publications with defined print runs. Permitted uses include:

  • Books — trade, academic, reference, children's, and coffee table publications distributed commercially.
  • Magazines — consumer, trade, and specialty publications with regular print runs.
  • Newspapers — daily, weekly, and specialty print newspapers.
  • Journals — academic and professional publications in print format.
  • Annual publications and periodicals with defined print runs.

Pricing is determined by publication type. For books: the physical print run per edition. For magazines and newspapers: the average monthly or weekly print run. Per edition terms for books; annual terms for periodicals.

Relationship to Desktop License

Publishers producing publications at commercial scale require both a Desktop License for their design team and a Publishing License for each publication title.

Digital Editions

The Publishing License covers print editions only. Digital editions require a separate App/Software License for embedded fonts or a Web License if delivered through a web-based reading platform.

What This License Does Not Cover

  • Publications where readers select or manipulate fonts themselves — contact Positype.
  • Advertising within publications — covered by the Desktop License of the agency or client producing the advertising.
  • Unlimited digital distribution of the publication in formats that allow font extraction.

Addendum I

Trial License

This Addendum is part of the Positype Universal EULA and governs Trial use of Positype Font Software. It applies to the trial versions of Positype fonts ("Trial Fonts" or "Trial Font Software") that you download from positype.com. By downloading, installing, or using Trial Fonts, you agree to be bound by this Addendum and by the Positype Universal EULA, of which it forms a part.

If you are accepting this Trial License on behalf of a company, organization, or other legal entity ("Organization"), you agree to it on behalf of that Organization and confirm that you have the authority to bind that Organization to its terms. In that case, "You" and "Licensee" refer to that Organization.

What This License Is

The Trial License is a limited, no-cost license that lets you evaluate whether a Positype typeface is right for your project before you purchase a full retail license. It is not a license for production, commercial, or public use of any kind.

Because Trial Fonts exist only for evaluation, they are deliberately incomplete. Trial Fonts are delivered in Desktop (OpenType/OTF) format only, carry the word "TRIAL" in the family name, and contain a reduced character set, typically A–Z, a–z, 0–9, and basic punctuation. Glyphs that are omitted are replaced with a placeholder of the same width so that line breaks and copyfit match the retail version, and OpenType features such as ligatures and contextual alternates are turned off. The complete character set and full feature set are available only in the retail Font Software.

If your intended use is not clearly permitted below, contact us before using the Trial Fonts. We would rather answer a question than resolve a violation.

License Grant

Subject to your compliance with this Addendum and the Positype Universal EULA, Positype grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Trial Fonts solely for evaluation as described here. You are granted only the rights expressly stated. Any use of the Trial Fonts not expressly permitted is prohibited. This license grants no ownership or permanent rights in the Trial Fonts or the typeface designs they render; all such rights are retained by Positype as set out in the Universal EULA.

What This License Covers

The Trial License grants you the right to install and use Trial Fonts for internal evaluation only. Permitted uses include:

  • Draft materials: non-public documents, presentations, mockups, and proposals ("Drafts") created for internal evaluation and review.
  • Client review: showing or delivering such Drafts to your clients for the sole purpose of demonstrating the potential use of Positype retail Font Software.
  • Personal testing: installing and using the Trial Fonts as a single individual on one or more Workstations that you own and control.
  • Organization testing: where the Licensee is an Organization, installing and using the Trial Fonts on Workstations owned and controlled by the Organization, by up to five (5) users within that Organization.

File formats delivered: OpenType (OTF), trial version with reduced character set.

Licensed Unit: One (1) individual, or up to five (5) users within a single Organization. If more than five users within your Organization need to evaluate the Trial Fonts, contact Positype at support@positype.com for an extended trial license.

What This License Does Not Cover

  • Any commercial use, or any use for compensation in connection with a business, trade, or profession. This requires a retail license.
  • Any work that is published, distributed, sold, broadcast, exhibited, performed, or otherwise displayed in any public setting. This requires a retail license.
  • Live webfont use, application or software embedding, broadcast, packaging, publishing, or any other category of use. This requires the applicable retail Category Addendum.
  • Installation of Trial Fonts on any internal or external server.
  • Any use requiring Trial Font files to be transferred to a Third Party.
  • Use of the retail character set or retail OpenType features not present in the Trial Fonts.

No Commercial or Public Use

You may not, and may not cause any Third Party to, use the Trial Fonts, or any Draft created with them, for any Commercial Use, or in any work published, exhibited, distributed, broadcast, or displayed in any public setting. The only exception is delivering Drafts to your own clients for internal review as permitted above. Any sale, publication, distribution, broadcast, or public display of work made with the Trial Fonts is a breach of this Trial License. To use a Positype typeface for any commercial or public purpose, you must purchase the applicable retail license at positype.com.

No Distribution to Third Parties

You must retain exclusive custody and control of all copies of the Trial Fonts and take reasonable steps to prevent unauthorized access, use, duplication, or distribution. You may not distribute, share, lend, sell, sublicense, rent, give away, or otherwise transfer the Trial Fonts to any Third Party, including any client, contractor, freelancer, agency, vendor, parent company, subsidiary, or affiliate. Any Third Party who wishes to evaluate the fonts must obtain their own Trial License from Positype.

No Modification and No Derivative Fonts

You may not, and may not cause any Third Party to, modify, alter, translate, rename, or convert the Trial Fonts in any way, including converting them to any other format (such as WOFF, WOFF2, EOT, or TTF) or adding, removing, or altering any characters. You may not reverse engineer, decompile, or disassemble the Trial Fonts or attempt to derive their source or design data. You may not create any variant, adaptation, or Derivative Work of the Trial Fonts themselves, nor create or generate any font software that incorporates or is based upon the typeface designs rendered by the Trial Fonts. You may not remove the word "TRIAL" from the font name, or remove, alter, or obscure any copyright, trademark, or other proprietary notice.

No Artificial Intelligence or Machine Learning Use

You may not use the Trial Fonts, or the typeface designs they render, for any machine learning or artificial intelligence purpose, including but not limited to training, developing, or improving any artificial intelligence or generative system to produce text, images, typefaces, or any other content.

Ownership

The Trial Fonts and the typeface designs they render are the exclusive property of Positype and its designers, protected by copyright and other intellectual property laws worldwide. This Trial License grants limited evaluation rights only and conveys no ownership or permanent right in the Trial Font Software or the typeface designs. All right, title, and interest are retained by Positype as set out in the Universal EULA.

Term and Termination

This Trial License is effective until terminated. It terminates automatically and immediately upon any breach of its terms by you or any user within your Organization, and Positype may otherwise terminate it at any time. Upon termination, you must immediately stop using and permanently delete all copies of the Trial Fonts in your possession or control, and, if requested, certify to Positype that you have done so. Positype reserves all remedies available at law or in equity, including injunctive relief.

Relationship to the Universal EULA

This Addendum operates under and is governed by the Positype Universal EULA. The Universal EULA's terms, including Ownership and Intellectual Property, Warranties, Limitation of Liability, Governing Law and Jurisdiction, and Termination, apply to your use of the Trial Fonts. For clarity, and because Trial Fonts are provided at no cost for evaluation only:

  • The Trial Fonts are provided "AS IS," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Positype does not warrant that the Trial Fonts will meet your requirements or operate without interruption or error.
  • To the maximum extent permitted by law, Positype will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Trial Fonts.
  • This Trial License is governed by the laws of the State of Georgia, United States, with disputes heard exclusively in Jackson County, Georgia, or the Northern District of Georgia, Atlanta Division, as set out in the Universal EULA.
  • Where any term of this Addendum conflicts with the Universal EULA, this Addendum controls with respect to Trial Fonts.

Not Transferable

You may not transfer or assign your rights under this Trial License to any other person or entity. Any additional party wishing to evaluate the Trial Fonts must enter into their own Trial License with Positype.
